Noteholders are hereby advised that the Company’s annual financial statements for
the financial year ended 29 February 2020, are available on the Company’s website at
https://www.capitecbank.co.za/investor-relations/bond-programme or may be requested
and obtained in person, at no charge, at the Specified Office of the Company during
office hours.
The audit opinion relating to the above-referenced annual financial statements is
unmodified.
UPDATE TO THE SECTION OF THE PROGRAMME MEMORANDUM HEADED "DESCRIPTION OF THE ISSUER"
Reference is made to the Amended and Updated Programme Memorandum dated 21 April 2016
("Programme Memorandum") prepared by the Company in respect of the Capitec Bank
Limited ZAR8,000,000,000 Domestic Medium Term Note Programme.
Noteholders are hereby advised that the "Capitec Bank Limited Annual Report" for the
financial year of the Company ended 29 February 2020 ("2020 Annual Report"), which
is incorporated by reference into the Programme Memorandum (see the section of the
Programme Memorandum headed "Documents Incorporated by Reference"), updates the
description of the Company and its business set out in the section of the Programme
Memorandum headed "Description of the Issuer". The 2020 Annual Report is available
for inspection, upon request, during normal office hours, at the Specified Office of
the Company as well as on the following website: www.capitecbank.co.za.
Noteholders are further reminded of the Company’s acquisition of Mercantile Bank
Holdings Limited and its Subsidiaries, as announced on SENS on 9 October 2019 and
referred to in the 2020 Annual Report.
