FURTHER DISCLOSURES RELATING TO THE DELAY IN THE RELEASE OF TCTA’S 2018/19 ANNUAL FINANCIAL STATEMENTS


TCTA’s SENS announcements of 31 October 2019 and 11 November 2019 (titled: Further Update on the Delay in
the Release of TCTA’s 2018/19 Annual Financial Statements), 29 November 2019 (titled: Delay in the Release of
Annual Financial Statements (AFS)), and 31 December 2019 (titled: Further Disclosures relating to the Delay in
the Release of TCTA’s 2018/19 Annual Financial Statements) have reference.

The Integrated Annual Report was approved by Board on 31 January 2020 and delivered to the Minister on 13
February 2020 to enable her to table it in Parliament, thus making it a publicly available document.

The Minister has not yet tabled it in Parliament as she wishes to do so at the same time as that of the Department
of Water and Sanitation. The desire to do is because the financial asset of TCTA is reported as a liability in the
Department’s annual report. The Auditor-General South Africa only recently concluded and signed off on the
Department’s annual financial statements, which allows completion of the annual report of the Department, hence
the delay in tabling.

TCTA requested the JSE for an extension to 12 March 2020 to enable the Minister to table TCTA’s Integrated
Annual Report in Parliament, which was not granted. TCTA has until close of business on 5 March 2020 to make
written representations to the JSE to show cause why the suspension of the listing of TCTA’s securities should not
be effected.
