Grand Parade Investments Limited (the “Issuer”)

In a SENS announcement on 26 September 2018, shareholders were notified of an Extraordinary
General Meeting (the “EGM”) to be held on 31 October 2018. The JSE was advised that the EGM had
been adjourned in order to provide the serving non-executive directors and the shareholders with the
reasons why the shareholders who called the EGM wished the serving non-executive directors to be
removed, and to allow the serving non-executive directors an opportunity to formulate their respective
presentations as required under section 71(2)(b) of the Companies Act No 71 of 2008.

Pursuant to the announcement of the Issuer dated 6 November 2018, shareholders were advised that
the adjourned general meeting would be held on Wednesday, 5 December 2018.

The purpose of this announcement is to provide the reasons, as requested by the Issuer, why the
shareholders who called the EGM wished the serving non-executive directors to be removed (the
“Relevant Information”).

The shareholders made a request to the Issuer in a letter dated 9 November 2018 requesting that the
Relevant Information be released on SENS however the Issuer did not adhere to the request.
Pursuant to paragraph 1.27 of the JSE Listings Requirements (the “Requirements”) the JSE directed
the Issuer to release the information on the basis that the Relevant Information is essential to ensure
that shareholders are given full information and are afforded adequate opportunity to consider in
advance and vote upon a matter that could bring substantial change in the Issuer’s business
operations.

The Issuer failed to adhere to the directive of the JSE and in accordance with the provisions of
paragraph 1.27 of the Requirements the JSE will publish the Relevant Information as requested by
the shareholders on SENS, simultaneously with the release of this announcement.
