Changes to the Board Brainworks Limited (Incorporated in the Republic of Mauritius) (Registration number: 115883 C1/GBL) Share Code: BWZ ISIN: MU0548S00000 (“Brainworks” or “the Company”) Changes to the Board In compliance with section 3.59 of the Listings Requirements of the JSE Limited, shareholders are hereby advised that the board of directors is pleased to announce, subject to due compliance with Anti-Money Laundering and Combating the Financing of Terrorism (AML/CFT) legislation of Mauritius, the appointment of the following new non-executive directors to the Board with effect from 9 October 2018: Mrs Chipo Mtasa Mrs Mtasa obtained a BACC (Hons) degree from the University of Zimbabwe in 1987 and is a registered Chartered Accountant (Zimbabwe). In 2009 she received an Executive Management Development Certificate from Wharton Business School, University of Pennsylvania, USA. Mrs Mtasa has over 20 years’ experience in corporate management and she has held leadership positions in the hospitality, service and manufacturing sectors, the most notable of which include her tenure as the CFO and CEO of the Rainbow Tourism Group Limited. She is currently the Managing Director of TelOne Private Limited in Zimbabwe and she holds a number of non-executive directorships including FBC Holdings Limited. She is also the Chairperson of the Zimbabwe Tourism Authority, West Indian Ocean Cable Company and the Zimbabwe Open University. Simon Nyarota Mr Nyarota obtained a BA Economics and Statistics (National University of Lesotho), M Math Statistics and M Math Actuarial Science (both from the University of Waterloo, Ontario, Canada). He has over 35 years of extensive work experience in the Zimbabwean financial, banking, insurance and investment sectors with additional experience in macroeconomic and financial research and analysis. Mr Nyarota has worked with regional and international institutions which include the Southern African Development Community (SADC), the Common Market for Eastern and Southern Africa (COMESA), Macroeconomic and Financial Management Institute of Eastern and Southern Africa (MEFMI), World Bank, International Monetary Fund (IMF), and African Development Bank. Mr Nyarota is currently the Director of Economic Research at the Reserve Bank of Zimbabwe, which position he has held since 2004. He has published a number of research papers and serves on the boards of several organisations. The Board is excited to have Mrs Mtasa and Mr Nyarota joining the Company and strongly believes that their qualifications and experience will complement that of our existing Board members. They will be invaluable to the Company’s strategy of increasing its footprint in the real estate and hospitality sectors as well as providing invaluable insight in navigating the regulatory environment in the region.
