 NOTICE OF THE RESULTS OF A MEETING OF THE HOLDERS OF ALL OF
 THE NOTES ISSUED UNDER THE ISSUER'S ZAR4,000,000,000 ASSET
   BACKED NOTE PROGRAMME DATED 15 OCTOBER 2012 ("PROGRAMME
                         MEMORANDUM")


Noteholders are referred to the notice of the meeting of the
holders of all of the Notes, issued under the Issuer's
ZAR4,000,000,000 asset backed note programme memorandum dated
15 October 2012 ("Programme Memorandum"), dated 19 June 2018
("Notice of Meeting").

Capitalised terms and expressions used in this notice and not
otherwise defined herein, shall have the meaning ascribed to
such terms and expressions in the Programme Memorandum and the
Notice of Meeting.

Pursuant to the Notice of Meeting, a meeting of Noteholders was
held on 27 June 2018, at 10h00 at the office of Quadridge
Intembeko Proprietary Limited, 1st Floor, 32 Fricker Road,
Illovo, pursuant to which the Noteholders approved the amendment
to the terms and conditions of item 14 of each of the Class A,
Class B and Class C Applicable Pricing Supplements respectively.

The above resolution was effected following the adoption of the
Special Resolution by Noteholders at the Meeting holding 99.90%
of the Principal Amount Outstanding of the Notes represented by
proxy.
