FILING OF AMENDMENT TO FORM 20-F WITH THE SEC & CHANGE IN DEPOSITORY AGENT

Capitalised words and expressions used in this announcement shall bear the meanings given to them in the
Pre-Listing Statement.

Prospective Grindrod Shipping Shareholders (“Shareholders”) are referred to the Pre-Listing Statement
issued by Grindrod Shipping on Monday, 7 May 2018 in relation to the proposed primary listing of Grindrod
Shipping Shares on NASDAQ and the secondary inward listing on the main board of the exchange operated
by the JSE Limited (“JSE”).

Shareholders are advised that the Company has filed an amended Form 20-F with the SEC (which relates to
the registration of the Shares under section 12(b) of the United States Securities Exchange Act of 1934, as
amended). The amended Form 20-F is now available on Grindrod ‘s website: www.grindrod.co.za.

In addition, Shareholders are advised that the Company will appoint Computershare (Pty) Ltd,
(“Computershare”) as administrative depository agent in South Africa to provide securities administration
and nominee services with effect from 18 June 2018. Computershare will maintain an administrative
depository register of members for the Shares listed on the JSE.

Continental Stock Transfer & Trust Company will continue to serve as transfer agent and maintain Grindrod
Shipping’s branch register of members, which will be located in the United States.
