The board of directors of the Issuer has determined that it is not in the best interest of the Issuer to declare the Preference Dividend at this time, given the on-going situation faced by the Steinhoff group, following the announcements made since December 2017. The holders of the Preference Shares will, as a consequence of the Issuer's decision not to declare the Preference Dividend, inter alia, be entitled to receive notices of general meetings of the Issuer's shareholders, and will be entitled to vote at such general meetings, but not the general meetings of Steinhoff International Holdings N.V.
