FINALISATION ANNOUNCEMENT IN RESPECT OF THE SOH NON-RENOUNCEABLE RIGHTS OFFER
INTRODUCTION
SOH Shareholders (“Shareholders”) are referred to the announcement released on the Stock
Exchange News Services (“SENS”) of the JSE Limited on 10 April 2018, wherein Shareholders
were advised that SOH has resolved to pursue a non-renounceable, underwritten rights offer
of 46 898 000 ordinary shares (“Rights Offer Shares”) at a price of R0.42 per share, in the ratio
of 29.99000 Rights Offer Shares for every 100 ordinary shares. The Company intends to raise
R19 697 160 from existing shareholders (the “Rights Offer”).
RIGHTS OFFER CIRCULAR
The Rights Offer circular containing full particulars of the Rights Offer and accompanying
form of instruction (“the Circular”) for use by certificated Shareholders will be available on
the Company’s website from Friday, 13 April 2018 and e-mailed or posted to certificated
Shareholders on Thursday, 19 April 2017.
Certificated Shareholders must complete the form of instruction and lodge it with the transfer
secretaries indicating how they wish to participate in the Rights Offer.
Dematerialised Shareholders will not receive a printed form of instruction, but will have their
accounts updated with their Rights Offer entitlement by their Central Securities Depository
Participant (“CSDP”) or broker. Holders of dematerialised Ordinary Shares are required to
notify their CSDP or broker of the action they wish to take in respect of the Rights Offer in the
manner and by the time stipulated in the agreement governing the relationship between the
dematerialised Shareholder and their CSDP or broker.

Notes:
1. All dates and times are local dates and times in South Africa. The above dates and times

2. Share certificates may not be Dematerialised or re-materialised between Wednesday,
18 April 2018 and Friday, 20 April 2018, both days inclusive.
3. Dematerialised Shareholders will have their accounts at their CSDP or Broker credited with
the Rights Offer Shares to the extent to which they have accepted the Rights Offer. Share
certificates will be posted, by registered post at the Shareholder’s risk, to Certificated
Shareholders to the extent to which they have accepted the Rights Offer.
