Gen - General - Steinhoff Services Limited - Late submission of Annual Financial Statements GEN – General – STEINHOFF SERVICES LIMITED (Registration Number 1983/006201/06) LATE SUBMISSION OF ANNUAL FINANCIAL STATEMENTS (“ANNUAL REPORT”) The Johannesburg Stock Exchange (the "JSE") wishes to advise that Steinhoff Services Limited (“Steinhoff Services”) has failed to submit its annual report within the four-month period stipulated in the JSE's Debt Listings Requirements (the “Debt Requirements”). The debt securities of Steinhoff Services (the “Notes”) have a primary listing on the JSE, unlike Steinhoff International Holdings N.V. which has a primary listing on the Frankfurt Stock Exchange and a secondary listing on the JSE. Accordingly, this announcement is issued to warn Noteholders that, if Steinhoff Services fails to submit its annual report on or before 28 February 2018 then the Notes and the registration of the programme memorandum of Steinhoff Services will be suspended in accordance with the provisions of the Debt Requirements. Meeting of Noteholders The JSE is aware of the SENS announcement published by Steinhoff N.V. on 24 January 2018, noting that Steinhoff Services is requesting the written consent of Noteholders (the “Consent”) to reduce the maturity date of the Notes to 23 February 2018 by amending the terms of the Programme. Provided Noteholders grant the Consent, the JSE will not consider suspending the Notes on the basis that the maturity date of the Notes will have been reached prior to the due date for Steinhoff Services to submit its Annual Report to the JSE. The JSE notes that Steinhoff Services has requested that Noteholders provide the Consent by no later than 17h00 on 20 February 2018 in accordance with the terms and conditions of the Programme.
