TRP121: NOTIFICATION OF ACQUISITIONS OF BENEFICIAL INTERESTS IN SHARES


In compliance with section 122(3)(b) of the Companies Act 71 of 2008 (“the Companies Act”), regulation
121(2)(b) of the Companies Act Regulations, 2011 and paragraph 3.83(b) of the JSE Listings Requirements,
shareholders are advised that Sandown Capital has received notification from:

   -   Prudential Investment Managers (South Africa) Proprietary Limited (“Prudential”) of the
       acquisition by Prudential of Sandown Capital shares such that Prudential’s total beneficial interest
       (on behalf of its clients) is now 6.78% of Sandown Capital’s total issued ordinary shares; and

   -   Old Mutual plc (“Old Mutual”) of the acquisition by Old Mutual of Sandown Capital shares such
       that Old Mutual’s total beneficial interest (on behalf of the entire Old Mutual plc group) is now
       9.75% of Sandown Capital’s total issued ordinary shares.

As required in terms of section 122(3)(a) of the Companies Act, Sandown Capital has filed the required
notices with the Takeover Regulation Panel.
