DISTRIBUTION OF CIRCULAR TO SHAREHOLDERS AND NOTICE OF SECTION 60 RESOLUTION
FOR THE AMENDMENT OF THE COMPANY’S MEMORANDUM OF INCORPORATION

Shareholders are advised that the board of directors of the Company (the “Board”) has proposed certain
amendments to the Company’s memorandum of incorporation (“MOI”), including, inter alia, certain
amendments to the terms of the Company’s Class D, Class E, Class F and Class G Preference Shares.

In order for Ecsponent to implement the proposed amendments, shareholders are advised that the
Board has resolved to submit to shareholders for their consideration and approval, certain special and
ordinary resolutions by written consent in terms of section 60 of the Companies Act, 2008.

A circular setting out the proposed amendments, together with the proposed resolutions (“the Circular”),
has been distributed to shareholders on Thursday, 03 August 2017. The deadline for approval of the
resolutions is Thursday, 07 September 2017. A copy of the Circular is available on the Company’s
website (www.ecsponentlimited.com).

The last day to trade and record date for determining which shareholders are entitled to vote on the
proposed resolutions was Tuesday, 25 July 2017 and Friday, 28 July 2017, respectively.
