The number of shares voted in person or by proxy was 10 097 145 representing 8.07% of the total issued share capital of Gooderson and 47.6% of the remaining shares eligible to vote. Note that the Gooderson family (as defined in the circular) was not entitled to vote. The resolutions proposed at the meeting, together with the percentage of shares voted or abstained as well as the percentage of votes carried for and against each resolution are displayed below: Special resolution: Approval of the scheme SHARES VOTED 10 097 145 100% SHARES ABSTAINED 36 600 VOTES FOR 9 097 545 90.10% VOTES AGAINST 963 000 9.54% Ordinary Resolution: Director’s authority SHARES VOTED 10 097 145 100% SHARES ABSTAINED 3 600 VOTES FOR 9 130 545 90.43% VOTES AGAINST 963 000 9.54% The special resolution was passed. Objections were however received in advance and there were votes against by less than 5% of the remaining 21 208 584 issued shares of the company. Consequently it cannot yet be determined whether the scheme was approved or not.
