Delay in issuing the circular in respect of the proposed scheme of arrangement and delisting
of Gooderson


Shareholders are referred to the SENS announcement dated 16 August 2016 regarding the firm
intention announcement in terms of Regulation 101 of the Companies Regulations, 2011 of the
Companies Act, 2008, in respect of the proposed delisting of Gooderson following approval and
implementation of a scheme of arrangement in terms of section 114 of the Companies Act, 2008
and an offer to all remaining shareholders.

There has been a delay in the finalisation of the fair and reasonable opinion.

It is expected that the circular will be posted to shareholders by approximately 5 October 2016. A
further announcement setting out the salient dates and times in relation to the posting of the circular
and the scheme meeting will be released in due course.
