CHANGES IN LEADERSHIP

In accordance with paragraph 3.59(c) of the Listings Requirements of the JSE
Limited (“JSE”), shareholders are hereby advised of the following changes to
the GAIA board of directors (“the Board”)

Chief Executive Officer

GAIA is pleased to announce the appointment of Ms Prudence Lebina
(“Prudence”) as Chief Executive Officer, effective 1 October 2016.

Prudence is a qualified chartered accountant with more than ten years’
experience in the financial services and mining sectors. Prudence joins GAIA
from Atlatsa Resources Corporation, where she was an executive in charge of
corporate finance as well as investor and other stakeholder relations. She
was previously at Exxaro Resources Limited in corporate finance, also
managing investor relations. Prudence spent five years at Deutsche Bank in
the Global Corporate Finance division working on mergers and acquisitions
advisory mandates.

Prudence is currently the Lead Independent Director on the Board and chairs
the Audit and Risk Committee. She will relinquish the latter position when
she assumes her new position as CEO.

Independent Non-Executive Chairman

As announced on SENS on 12 July 2016, GAIA is, subject to conditions
precedent, in the process of acquiring a viable asset, following which GAIA
shall transform from a Special Purpose Acquisition Company (SPAC) to an
investment holding company on the JSE. The Board reconsidered the company’s
corporate governance structures afresh. As a result, the Board has resolved
to appoint Mr Eddie Mbalo (“Eddie”) as an Independent Non-Executive Chairman
of the Company with effect from 19 October 2016. Eddie will replace Leon de
Wit, who will continue to serve on the Board.

Eddie boasts extensive experience in corporate South Africa, particularly in
the media industry having served for ten years as Chief Executive Officer of
the National Film and Video Foundation, a government institution established
to fund the development of the South African film industry. Eddie has for
the past four years worked closely with the Developmental Financial
Institutions   like  the   Industrial   Development  Corporation,   National
Empowerment Fund and the Development Bank of Southern Africa in the
successful business rescue of TopTV, now rebranded as StarSat.

Eddie is currently an independent non-executive director of GAIA, serving in
its Audit, Social and Ethics Committees.

Leon de Wit, Executive Chairman of the Board responded, “The Board is indeed
pleased to welcome Prudence as our CEO and Eddie as our Independent Non-
Executive Chairman. Their appointments are significant strategic milestones
in GAIA becoming a leading investor in listed infrastructure assets in South
Africa.”
