ACQUISITION OF GOVERNORS’ CAMP GROUP OF COMPANIES (KENYA AND RWANDA) –
CONCLUSION OF CONDITIONS PRECEDENT


Further to the notice issued on 6 April 2016, the Board is pleased to announce that the previously
stipulated conditions precedent in acquisition of Governors’ Camp Group of Companies have been
successfully concluded as follows:

1. Wilderness Holdings has received confirmation from the Competition Authority of Kenya (CAK)
   that the proposed acquisition of Governors’ Camp Group Of Companies is excluded from the
   requirement to secure CAK approval; and

2. All due diligence processes have been satisfactorily completed, with no material issues raised.

The successful completion of the conditions precedent enables Wilderness Holdings to fully acquire,
without any further condition, Governors’ Camp Group of Companies.

The Company’s primary listing is on the BSE and its secondary listing is on the JSE.
