NOTIFICATION IN TERMS OF SECTION 122(3) OF THE COMPANIES ACT AND
SECTION 3.83(b) OF THE JSE LISTINGS REQUIREMENTS
In accordance with section 122(3)(b) of the Companies Act, No. 71 of 2008
(“the Companies Act”), and section 3.83(b) of the JSE Listings Requirements,
holders of ordinary shares in the Company are advised that:
EmployeeCo (Pty) Ltd, a company formed for purposes of empowering the
employees of Cargo Carriers through sharing in the economic value created
by the Company, has subscribed for ordinary shares in the Company such
that the total interest held by EmployeeCo (Pty) Ltd amounts to 5% of the
total issued share capital of the Company. This subscription is in accordance
with the resolutions approved by shareholders at the general meeting held on
5 May 2016.
Cargo Carriers hereby confirms that it has received the required notice from
EmployeeCo (Pty) Ltd in terms of section 122(1)(a) of the Companies Act. As
required in terms of section 122(3)(a) of the Companies Act, Cargo Carriers
will file the required notice with the Takeover Regulation Panel.
