MAJOR SHAREHOLDERS
Shareholders are referred to paragraph 5.2 of the Hulisani
pre-listing statement issued on 31 March 2016 and are hereby
advised that the shareholders set out below will hold more
than 5% of the issued share capital of Hulisani pursuant to
the listing:

In terms of section 4.34(e) of the JSE Listings Requirements,
the directors of a SPAC are required to subscribe for a
minimum of 5% of the shares in issue. The Hulisani directors
have therefore limited the initial capital raise to R500
million.

Due to increased demand by investors to subscribe for shares
in Hulisani, the Government Employees Pension Fund has agreed
to limit its initial subscription to allow for other investors
to acquire shares in Hulisani. The Government Employees
Pension Fund/Public Investment Corporation have indicated that
they are willing to participate in any future capital raise.
