DEALINGS IN SECURITIES BY ASSOCIATES OF DIRECTORS

In compliance with the Listings Requirements of the JSE
Limited, the following associates of directors of Stellar
Capital elected to follow their rights to subscribe for new
Stellar Capital shares, as detailed below, pursuant to the
rights issue by Stellar Capital, as announced on SENS on 22
October 2015 and further detailed in the circular to
shareholders dated 10 November 2015 (“Rights Issue”). In
accordance with the salient dates relating to the Rights Issue
by Stellar Capital, the Rights Issue shares were issued on, 30
November 2015.

The Rights Issue by Stellar Capital is in respect of
173 913 044 shares made to shareholders in the ratio of
23.14079 new Rights Issue shares for every 100 shares held at
the close of trade on Friday, 13 November 2015 at a price of
R2.30 per Rights Issue share thereby raising R400 000 000.

In compliance with paragraphs 3.63 to 3.74 of the Listings
