UPDATED CHANGE STATEMENT
Shareholders are referred to the Change Statement and Notice
of Annual General Meeting announcement published on SENS on 30
September 2015, regarding the publication and the posting of
the Company’s annual report incorporating the audited annual
financial statements for the year ended 28 February 2015 (“the
Annual Report”).
In accordance with paragraph 3.25(e) of the JSE Listing
Requirements, shareholders are further referred to an extract
of the Audit Report included in the Annual Report, which
referred to a Reportable Irregularity as follows:
The Company’s Auditors reported that they had identified
certain unlawful acts or omissions committed by persons
responsible for the management of MRI which constitute a
reportable irregularity in terms of the Auditing Profession
Act, and had reported such matters to the Independent
Regulatory Board for Auditors. This matter arose as there had
been a contravention of Section 30(1) of the Companies Act as
the Company did not prepare annual financial statements within
six months after year end.
Shareholders are reminded that the annual financial statements
were posted to shareholders on 1 October 2015.
