UPDATE IN RESPECT OF THE ACQUISITION OF IMBS Shareholders are referred to the detailed cautionary announcement released on SENS on Friday 26 June 2015 (“Announcement”) in which MRI disclosed indicative terms of the acquisition of approximately 39.2% of the issue share capital of IMBS ("IMBS Acquisition") as well as further and related corporate actions thereto. Shareholders are advised that terms of the IMBS Acquisition are at an advanced stage with the relevant parties involved. As disclosed in the Announcement, management of MRI have been engaging with key investors in order to secure the raising of capital through a combination of a loan and private placement, the proceeds of which will facilitate the IMBS acquisition and will support MRI’s working capital requirements. These discussions are progressing and it is anticipated that an outcome will soon be achieved. As part of the transaction, MRI was obliged to provide a loan of R10 million to IMBS, which will be repaid through the issue of shares in IMBS if the IMBS Acquisition completed, and in cash if not consummated. MRI has sourced third party funding and entered into the necessary documentation, and will advance funds as soon as all relevant conditions precedent have been fulfilled. The Company will release further details and terms in respect of the IMBS Acquisition once appropriate to do so. 2. RENEWAL OF CAUTIONARY Once all the terms of the IMBS Acquisition have been finalised, a detailed terms announcement will be published.
