Subscription agreement reinstated


Shareholders are referred to the announcement issued on 17 July 2015 that the Company
entered into an agreement on 15 July 2015 with Kose-Kose Investments Limited (“KKI”), in
terms of which KKI will subscribe for 408 824 944 shares at 0,5 cents each in the share capital
of StratCorp for an aggregate amount of R2 044 124.72 on certain terms and conditions (“the
subscription agreement”).

The initial suspensive conditions were fulfilled timeously. KKI was not able to complete its
financial and legal due diligence on the Company by 31 July 2015, as a result of which the
subscription agreement lapsed.

On 4 August 2015 the parties signed an addendum to the subscription agreement in terms of
which the subscription agreement was reinstated and KKI was afforded time to 14 August 2015
to complete the due diligence investigation. All other terms and conditions of the subscription
agreement remain of full force and effect.

Following receipt by the Company of written notification from KKI that it is satisfied with the due
diligence investigation, a circular containing inter alia full details of the specific Issue and other
matters referred to above will be prepared and posted to shareholders.
