CAUTIONARY ANNOUNCEMENT


Barclays Africa Group confirms that it is in preliminary discussions with Barclays Bank PLC
(BBPLC) regarding the potential combination of BBPLC’s 100% holding in Barclays Bank
Egypt SAE and 67.7% holding in Barclays Bank of Zimbabwe Limited (Barclays Zimbabwe)
with BAGL.     The discussions are at an early stage and there is no certainty that these
discussions will lead to a transaction.


The intention is that the listing of Barclays Zimbabwe on the Zimbabwe Stock Exchange
would not be affected. Only BBPLC’s holding in this listed subsidiary would be included in the
proposed transaction.


BAGL shareholders are advised to exercise caution when dealing in BAGL shares until further
announcements are made in this regard.
