Changes to the Board

In accordance with paragraph 3.59 of the Listings Requirements
of the JSE Limited, shareholders are advised that the
following changes to the board of directors of the company
(“the Board”):

1.   Appointment of Non-Executive Directors

     The following individuals have been appointed as non-
     executive directors of the company with immediate effect:

     -   Mr   Graham Dempster (“Mr Dempster” or “Graham”);
     -   Ms   Thembisa Dingaan (“Ms Dingaan” or “Thembisa”);
     -   Ms   Nunu Ntshingila (“Ms Ntshingila” or “Nunu”); and
     -   Mr   Rex Tomlinson (“Mr Tomlinson” or “Rex”).

     Mr Dempster (CA(SA))

     Graham is a Chartered Accountant by profession and has
     done Advanced Management Programmes at Insead (1995) and
     Harvard Business School (2002).

     He is the Chief Operating Officer of Nedbank Limited
     (“Nedbank”) and has been an executive director of Nedbank
     since August 2009. He has held positions as Managing
     Executive: Nedbank Corporate, Managing Director: Corporate
     Banking, Managing Director: International Division and
     Head: Overseas Operations.

     Ms Dingaan (B. Proc, LLB( UKZN) LLM(Harvard) H. Dip Tax(
     Wits))

     Thembisa is Director of Companies and is currently a
     member of the board of directors of the Development Bank
     of   Southern  Africa,  where  she   has  the  additional
     responsibility of serving as a member of the Audit, Risk
     and Finance Committee as well as the chair of the Credit
     and Investment Committee. In addition, she is a member of
     the boards of Mustek Limited (since February 2009),
     Imperial Holdings Limited ("Imperial") (since November
     2009), Sumitomo Rubber South Africa (Proprietary) Limited
     (since May 2011 . In September 2013 she was appointed to
     the board of directors of ABSA Bank Limited ("ABSA"), a
     member of the Barclays Africa Group Limited. She has the
     additional responsibility of being a member of ABSA's
     Models Committee and is a Trustee of ABSA's Pension Fund.

     Thembisa is admitted to the NY State Bar.


     Ms Ntshingila

     Nunu started her career as a trainee Account Executive at Ogilvy 
     South Africa after graduating from the University of Swaziland. 
     She spent three years at Nike as Communications Director. Nunu 
     then rejoined Ogilvy in 1999 and has risen through the ranks, 
     holding various senior executive positions within the firm, 
     including the position of Deputy Managing Director and later 
     Managing Director of the Gauteng Division, culminating in her
     appointment as the Group Chief Executive Officer in 2005. Nunu 
     was appointed Chairman of Ogilvy in 2012, a position she still 
     holds.

     She has extensive experience in marketing, strategy and
     advertising, having led or been a part of various iconic
     advertising campaigns in South Africa. Nunu leads a diversified 
     group which comprises 14  companies, specialising in Advertising, 
     Brand Consulting, Media/Channel Planning, Design, Digital/ Interactive, 
     CRM, Retail Marketing, Public Relations and Consumer Insights.

     She has served as a director on the Boards of Old Mutual,
     the V and A Waterfront and Transnet.


     Mr Tomlinson (B. Comm, HDPM, SEP (Stanford))

     Rex Tomlinson was Human Resources Director of Illovo Sugar
     Limited, before joining Nampak, where he held numerous
     executive line management roles and was a member of the
     Nampak Limited board. He joined Liberty Holdings in 2004,
     was appointed Deputy Chief Executive in 2005 and to the
     Liberty Holdings board in 2006, where he served until his
     resignation in 2010.

     He was until recently the Lead Independent director at
     Kelly Group Limited. He is currently the Lead Independent
     director at Tsogo Sun and also serves as Chairman of three
     unlisted companies.


2.   Resignation of Director


     Shareholders are advised that Dr Clive Fynn has resigned
     as a non-executive director of Telkom with immediate
     effect.

     The directors of Telkom extend their thanks to Dr Fynn for
     his contribution during his tenure on the Board and wish
     him well in his future endeavours.
