Notice in terms of section 129(3)(a) of the Companies Act UBUBELE HOLDINGS Incorporated in the Republic of South Africa (Registration number: 1998/011074/06) Share code: UBU ISIN Code: ZAE000144739 (“Ububele” or “the Company”) NOTICE IN TERMS OF SECTION 129(3)(a) OF THE COMPANIES ACT Shareholders are referred to the SENS announcement dated 6 August 2014 whereby shareholders were advised that the board of directors of Ububele (“the Board”) had resolved to commence with voluntary business rescue proceedings as provided for by section 129 of the Companies Act, No 71 of 2008, as amended (“the Companies Act”) and that the Company be placed under supervision in terms of section 129(1) of the Companies Act. The decision was taken by the Board as it has reasonable grounds to believe that the Company is financially distressed as contemplated by section 128(1)(f) of the Companies Act and that there is a reasonable prospect of rescuing the Company as envisaged by sections 128(1)(h) and 128(1)(b) of the Companies Act. Shareholders are hereby advised that they are regarded as “affected persons” in terms of section 128(1)(a) of the Companies Act and are entitled to notice of the business rescue proceedings. Accordingly, the following documents relating to the business rescue proceedings are available for inspection on the website of the Company at www.ububele.co.za: i) a copy of Form CoR123.1, being the Notice of Beginning of Business Rescue Proceedings; ii) a copy of the resolution adopted by the Company on 6 August 2014 and filed with the Companies and Intellectual Property Commission on 6 August 2014; and iii) the sworn statement by a director of the Company setting out the facts relevant to the grounds upon which the board resolution was founded.
