UPDATE ON BUSINESS RESCUE APPLICATIONS AND RENEWAL OF CAUTIONARY
ANNOUNCEMENT

The board of directors of Protech ("Board") would like to draw shareholders’ attention to the
announcement that was published on SENS on 30 May 2014, in which the shareholders were advised
that Protech has begun with business rescue proceedings as provided for by Section 129 of the
Companies Act, 2008 (“the Companies Act”), as amended. The current state of affairs in respect of the
process is summarised below.

1. Filing of the resolutions

The board resolution to apply for business rescue of Protech was filed by Protech with the Companies
and Intellectual Property Commission (“CIPC”) on 2 June 2014 and the effective date of commencement
of the business rescue proceedings of Protech is confirmed as 2 June 2014, in accordance with Section
132 (1)(a)(i) of the Companies Act.

The respective board resolutions to apply for business rescue of the following seven Protech subsidiary
companies (“subsidiaries”) were filed with CIPC on 3 June 2014 and the effective date of
commencement of the business rescue proceedings of the subsidiaries confirmed as 3 June 2014, in
accordance with Section 132 (1)(a)(i) of the Companies Act:
    1.   Protech Khuthele Properties (Proprietary) Limited;
    2.   Impact Compaction (Proprietary) Limited;
    3.   Protech Khuthele Property Investments (Proprietary) Limited
    4.   Protech Readymix (Proprietary) Limited;
    5.   Pela Plant (Proprietary) Limited;
    6.   South African Road Testing Services (Proprietary) Limited; and
    7.   Protech Khuthele (Proprietary) Limited.

2. Appointment of business rescue practitioner
The nomination and acceptance letters for Mr Gavin Gainsford to be licensed as the business rescue
practitioner of the all the companies have been submitted to the Companies and Intellectual Property
Commission (“CIPC”) and the various licenses have been received.


3. Notices of the resolutions
The companies are in the process of publishing a notice of the respective board resolutions and their
effective dates, in the prescribed manner to every affected person ("Notices"). Such Notices will include
copies of the resolutions, sworn statements of the facts relevant to the grounds on which the resolutions
were founded in terms of Section 129(3)(a) of the Companies Act and the notice of appointment of a
business rescue practitioner. Copies of the Notices may be obtained from Protech by e-mail at
businessrescue@pkh.co.za or on the website: www.pkh.co.za.

4. Renewal of cautionary announcement dated 30 May 2014
Shareholders are advised to continue to exercise caution when dealing in Protech’s securities until a
further announcement is made with regards to the status of the business rescue processes.
