Results of Annual General Meeting and retirement of directors

Shareholders are advised that, at the Annual General Meeting ("AGM") of
Standard Bank Group held on 29 May 2014, all of the resolutions set out in
the Notice of the AGM dated 5 March 2014 were passed by the requisite
majority of shareholders.

Shareholders are further advised that Doug Band and Chris Nissen retired
from the boards of directors (“the Boards”) of Standard Bank Group and The
Standard Bank of South Africa Limited at the conclusion of each company's
AGM. The Chairman expressed the Boards' appreciation for the valuable
contribution that both directors have made to the boards during their time
with the Standard Bank Group and wished them well in their future
endeavours.
