  PLACEMENT OF 175 500 000 ROCKCASTLE SHARES


  Following the announcement released on Thursday, 15 May 2014, Rockcastle has closed its placement increasing the
  quantity of shares placed in light of the demand. Accordingly, the Company has placed 175 500 000 new Rockcastle
  shares with investors (“the new Rockcastle shares”) as follows:

      -   3 269 700 new Rockcastle shares at USD1.41 per share raising USD4 610 277 through the Company’s
          Mauritian share register; and
      -   172 230 300 new Rockcastle shares at ZAR14.60 per share raising ZAR2 514 562 380 through the
          Company’s South African share register.

  The new Rockcastle shares are expected to list and trade on the Alternative Exchange of the JSE Limited (“JSE”) and
  the Stock Exchange of Mauritius Limited (“SEM”) from Friday, 30 May 2014. Investors will have their CSDP and
  CDS accounts credited with the new Rockcastle shares on Friday, 30 May 2014.

  The new Rockcastle shares will rank for dividends in respect of the period 1 January 2014 to 30 June 2014.

  Following the issue of the new Rockcastle shares, the Company will have a total of 705 500 000 shares in issue.

  Rockcastle has its primary listing on the SEM and a secondary listing on the JSE.
