PLACEMENT OF 10 000 000 NEW ATLANTIC LEAF SHARES
Investors are referred to Atlantic Leaf’s listing particulars issued on 7 March 2014 (“the listing
particulars”) in respect of the company’s listing on the Stock Exchange of Mauritius Limited (“SEM”),
Atlantic Leaf’s pre-listing statement issued on 28 March 2014 (“the pre-listing statement”) in respect of
the company’s listing on the Alternative Exchange of the JSE Limited (“JSE”) and the announcement
released by the company on 1 April 2014.
In accordance with the authority granted to them, the directors of Atlantic Leaf are pleased to announce that
it has closed a private placement of Atlantic Leaf shares to invited investors (“the private placement”).
Through the private placement, the company has placed 10 000 000 new Atlantic Leaf shares with investors
(“the new Atlantic Leaf shares”) at GBP 1.00 per share, raising GBP 10 000 000 through the company’s
Mauritian share register. No new Atlantic Leaf shares were placed through the company’s South African
share register.
The proceeds raised from the private placement brings the total capital raised pursuant to the private
placement and the various private placements related to the listing of the company’s shares on the SEM and
the JSE to GBP 15 293 583.
The new Atlantic Leaf shares are expected to list and trade with effect from Friday, 11 April 2014. Investors
that participated in the private placement will have their CDS accounts credited with the new shares on or
before Friday, 11 April 2014.
The new Atlantic Leaf shares will rank pari passu in all respects with existing Atlantic Leaf shares in issue.
As a result of the private placement, the company’s total shares in issue has increased to 15 294 583.
Atlantic Leaf has its primary listing on the SEM and a secondary listing on the JSE.
