("Protech" or "the Company")

NOTICE IN TERMS OF SECTION 45(5) OF THE COMPANIES ACT NO 71 OF 2008 (“THE
ACT”)

At the annual general meeting of the Company, held on the 22nd November 2013 the
shareholders of Protech approved a special resolution authorising the board of directors of
Protech (“the Board”) to provide financial assistance to related and inter-related companies.
The Board has, pursuant to the above authorisation and in accordance with section 45 of the
Act, resolved to provide suretyships to related and inter-related companies to secure the
banking facilities required by such companies.


In compliance with section 45(5) of the Act, the Company advises shareholders that the total
financial assistance provided to related and inter-related companies in terms of resolutions
passed by the Board during the current financial year exceeds one-tenth of one percent of
Protech’s net worth.


Shareholders are advised that the financial assistance referred to above, is strictly confined to
the business purposes of the Company and its subsidiaries only.

The financial information on which this notice is based has not yet been audited or reported on
by the Company’s auditors.
