DECLARED DIVIDEND ANNOUNCEMENT ON VODACOM GROUP LIMITED HOT ENHANCED DIVIDEND

SECURITIES – (“VODIHA”)





With reference to the dividend announcement, the Directors of Vodacom Group Limited declared an interim

dividend of 395 cents per ordinary share payable on Monday, 2 December 2013, to ordinary shareholders and

recorded in the books of the company at the close of business on Friday, 29 November 2013.



In terms of the new Dividend Tax effective 1 April 2012, the following additional information is disclosed:



1)   local dividend tax rate is 15%;

2)   No STC credits utilised;

3)   net local dividend amount 335.75 cents per share for shareholders liable to pay the new Dividends Tax and

     395 cents per share for shareholders exempt from paying the new Dividends Tax;

4)   the issued share capital of Vodacom Group Limited is 1,487,954,000 ordinary shares;

5)   Vodacom Group Limited tax reference number 1993/005461/06; and

6)   Investec Bank Limited tax reference number is 9675/053/71/5.





Accordingly, the holders of VODIHA will receive a Vodacom Group Limited distribution amount per security on

Monday, 2 December 2013, in terms of the Cession clause incorporated in the Supplement between the holders

and Investec Bank Limited. The last day to trade (“cum” the dividend) in order to participate in the dividend will be

Friday, 22 November 2013.



VODIHA Hot Enhanced Dividend Securities will commence trading “ex” the dividend from the commencement of

business on Monday, 25 November 2013, and the record date will be Friday, 29 November 2013.
