CONVERSION FROM PRIVATE TO PUBLIC COMPANY

Macquarie Securities South Africa Limited (“Macquarie”) has and
will continue to issue and list freely transferable debt
instruments on the exchange operated by the JSE Limited (“JSE”)
under its ZAR10,000,000,000 Debt Instrument Programme.

On 25 April 2013 the sole ordinary shareholder of Macquarie
passed a special resolution to convert it to a public company by
amending its memorandum of incorporation (the “Conversion”).
Confirmation from the Companies and Intellectual Property
Commission of the Conversion was received on 26 September 2013.

As a consequence of the Conversion, the name “Macquarie
Securities South Africa Proprietary Limited” has been changed to
“Macquarie Securities South Africa Limited” and its registration
number from Registration No. “2006/023546/07” to
“2006/023546/06”.

The business activities of Macquarie Securities South Africa
Limited remain unchanged and it will continue to operate as a
wholly owned subsidiary of Macquarie Group Limited in South
Africa.
