On 10 April 2006, The Standard Bank of South Africa Limited
(“Standard Bank”) issued ZAR1 500,000,000 Subordinated Unsecured
Notes which qualified as Tier II secondary capital notes (the
“SBK8 Notes”).
The SBK8 Notes are subject to the terms and conditions contained
in the Programme Memorandum dated 20 October 2005 (the
“Programme Memorandum”) as read together with the Applicable
Pricing Supplement issued in respect of the SBK8 Notes dated 5
April 2006 (the “Applicable Pricing Supplement”).
In terms of the Applicable Pricing Supplement, the SBK8 Notes
mature on 10 April 2018, however, they are redeemable at the
option of Standard Bank on 10 April 2013, subject to the prior
written approval of the Registrar of Banks.
Pursuant to Condition 47(a) of the Applicable Pricing Supplement
and after having obtained the requisite prior written approval
from the Registrar of Banks, Standard Bank hereby gives notice
that it shall redeem the SBK8 Notes on 10 April 2013 at the face
value thereof, together with any interest accrued thereon up
until that date.
