Appointments to the Board William Tell Holdings Limited Incorporated in the Republic of South Africa (Registration number 2004/030045/06) Share code: WTL ISIN: ZAE000098133 (“William Tell” or “the Company”) APPOINTMENTS TO THE BOARD In compliance with paragraph 3.59 of the Listings Requirements of JSE Limited, the board of directors of William Tell (“the Board”) hereby notifies its shareholders that Mr Filipe Manuel has been appointed as an executive director with effect from 5 March 2013. General Corneluis Jansen Bornman, Messrs Jan Adriaan Dercksen (Dirk) Pretorius and Henry Jacobus Mouton and Mrs Amouré Yeun have been appointed as independent non-executive directors of William Tell, with effect from 5 March 2013. Filipe, who has served in the South African Police Service, has been in the employ of William Tell since 2006 and is the manager of the Company’s security function. Corneluis obtained a BA (B.Mil) degree from the University of Stellenbosch and, following over 30 years in the South African Defence Force with final posting as General Officer Commanding Special Forces, is the founder of Genhanha Risk Management Services (“Genhanha”). Genhanha is a risk management firm in the mining and industrial sectors with a focus on risk management, forensic investigations and fraud detection. Dirk, who has over 20 years’ experience in the banking industry, has extensive management skills and experience in numerous business processes, including Marketing, Human Resources and Financial Management. Dirk also sat on the board of Pharmadata Proprietary Limited, a leading Pharmacy Windows Software Vendor, as Director of Operations and Human Resources. Henry, who obtained a BComm (Marketing) degree and an MBA from the University of Pretoria, currently sits on the boards of a number of companies that are specialised in the areas of international investments, project financing and project management, as well as TK Industries Proprietary Limited, a manufacturer and supplier in the retail clothing industry. Amouré is a qualified liquidator on the Master’s Panel (Pretoria) and the owner of Swartgoud Clerical Services, a company that provides paralegal assistance and attends to the preparation of litigious matters on behalf of various legal firms. Following the aforementioned appointments, with effect from 5 March 2013, the Company’s Audit and Risk Committee will comprise of: - Henry Jacobus Mouton (chairman and independent non-executive director); - Corneluis Jansen Bornman (independent non-executive director); and - Amouré Yeun (independent non-executive director).
