UNCONDITIONAL


BCX shareholders are referred to the announcement published on 5 November 2012, wherein they
were advised that BCX had entered into a sale of shares, repurchase and subscription agreement
(“the Sale Agreement”) to acquire 100% of the issued share capital of Integr8 IT (Proprietary) Limited
(“the Transaction”). The Transaction was subject to the fulfilment or waiver of certain conditions
precedent (“Conditions Precedent”).


BCX is pleased to announce that the Conditions Precedent have been fulfilled and consequently the
Transaction is now unconditional.
