RESULTS OF SCHEME MEETING
Shareholders are referred to the joint announcement released on SENS by Hardware Warehouse and Steinhoff
Doors and Building Materials Proprietary Limited (“Steinbuild”) on 4 December 2012 and the circular dated
14 December 2012 regarding the terms on which Steinbuild has made an offer to acquire the entire issued
share capital of Hardware Warehouse (“Hardware Warehouse Shares”) by way of a scheme of arrangement
(“Scheme”) in terms of section 114 of the Companies Act, 2008 (Act 71 of 2008), as amended, to be proposed
by the board of directors of Hardware Warehouse between Hardware Warehouse and the holders of Hardware
Warehouse Shares ("Hardware Warehouse Shareholders").
Hardware Warehouse Shareholders are advised that at the shareholders meeting ("Scheme Meeting") held on
Friday, 18 January 2013, convened to consider the Scheme in terms of the notice convening the Scheme
Meeting contained in the Circular to Hardware Warehouse Shareholders issued on 14 December 2012, all the
resolutions were passed by the requisite majority of shareholders.
Hardware Warehouse Shareholders are further advised that the Scheme remains subject to certain conditions
precedent, including the receipt of approval by the Competition Authorities, Third Party Consents and waivers
from any lenders to Hardware Warehouse of any change in control covenants they may have or any events of
default which may be triggered by the Scheme, which date to receive same has been extended to no later than
7 February 2013. Once all the conditions precedent to the Scheme have been fulfilled or waived (in whole or in
part), a further announcement regarding the relevant dates for the implementation of the Scheme will be made.
