Annual Meeting of Shareholders of Delrand Resources Limited (the "Corporation") held
on December 17, 2012 (the "Meeting")

hold office until the close of the next annual meeting of shareholders of the
Corporation at such remuneration as may be fixed by the directors of the
Corporation.
