Salient Dates and Times - PRO RATA Offer and Delisting Excellerate Holdings Limited (Incorporated in the Republic of South Africa) (Registration number 1997/009884/06) JSE code: EXL ISIN: ZAE000026092 (“Excellerate” or “the Company”) SALIENT DATES AND TIMES: PRO RATA OFFER AND DELISTING Shareholders are referred to the announcement released on SENS 31 July 2012 and the Excellerate shareholders circular dated 2 July 2012 (the “circular”) in respect of: 1. a pro rata offer to be made by the Company to all Excellerate shareholders to acquire all Excellerate shareholders’ shares in the Company in terms section 48 of the Companies Act 2008 for an offer price of R1.15 per Excellerate share (“the offer”) to be effected by way of a scheme of arrangement in terms of section 114 of the Companies Act (the “scheme”); and 2. the delisting of all Excellerate shares from the JSE Limited (the “delisting”). Excellerate shareholders are advised that the finalisation date announcement may only be published once all conditions to the scheme have been fulfilled. Given that certain conditions remain outstanding (as detailed in the SENS announcement published on 31 July 2012) the finalisation date announcement will not be published on Thursday, 2 August 2012 as indicated in the timetable set out on page 5 of the circular. The Company anticipates being in a position to publish the finalisation date announcement on or about Friday, 17 August 2012. The finalisation date announcement shall contain a revised timetable detailing the implementation of the offer and the delisting. Shareholders are further advised that in terms of the JSE Listings Requirements the offer must and shall remain open for at least 10 business days following the finalisation date.
