RESULTS OF GENERAL MEETING AND CHANGES TO THE BOARD OF DIRECTORS                
1.   RESULTS OF GENERAL MEETING                                                 
1.1  Shareholders are referred to the announcement released on the Securities   
Exchange News Service ("SENS") of the JSE Limited ("JSE") on 10 April 2012  
    relating to the proposed name change of Skinwell Holdings Limited to        
    Imbalie Beauty Limited, and are advised that the ordinary and special       
    resolutions relating to the name change proposed at the general meeting of  
Skinwell shareholders held on Thursday, 3 May 2012 were passed by the       
    requisite majority of shareholders present and voting, in person or by      
    proxy.                                                                      
1.2  The special resolution will be lodged with the Companies and Intellectual  
Property Commission for registration.                                       
2.   CHANGES TO THE BOARD OF DIRECTORS                                          
2.1  APPOINTMENT OF A NON-EXECUTIVE CHAIRPERSON                                 
    The Board of Directors ("the Board") is pleased to announce the appointment 
of Hilda Lunderstedt (B.Sc (Pharm)) as the Non-executive Chairperson of the 
    Board with immediate effect.                                                
    Hilda Lunderstedt has over 10 years` experience in the health and wellness  
    industry. She recently sold her health and wellness business to a large     
pharmaceutical player. This business had previously received the 2008 "Go   
    for Growth" award in recognition of its contribution to the industry.       
    Hilda`s strong entrepreneurial skills and flair will add to the current     
    expertise within our growing organisation. Her initial focus will be on     
enhancing Imbalie Beauty`s current marketing and sales strategy, ensuring a 
    customer-centric approach that is in line with market trends.               
2.2  APPOINTMENT OF LEAD INDEPENDENT DIRECTOR                                   
    Theo Schoeman will step down as the Independent Chairman and assume the     
role of Lead Independent Director with immediate effect.
