MTN`s joint auditors, PricewaterhouseCoopers Inc. and SizweNtsalubaGobodo Inc, audited the results and the annual financial statements of the Company and their unqualified report is available for inspection at the registered offices of the Company. Shareholders are further advised that the seventeenth annual general meeting ("AGM") of shareholders of MTN will be held in the Auditorium, Phase II, level 0, 216 - 14th Avenue, Fairland, Gauteng, on Tuesday, 29 May 2012 at 14:30 (South African time), to consider and, if deemed fit to pass, with or without modification, the ordinary and special resolutions set out in the notice of the AGM and to deal with such other business as may lawfully be dealt with at the AGM. The notice convening the AGM and related integrated business report will be issued to shareholders on Monday, 23 April 2012. The record date for receiving notice of the AGM was Friday, 13 April 2012. The record date for shareholders to participate in and vote at the AGM is Friday, 18 May 2012 for which the last day to trade is Friday, 11 May 2012.
