EXL - Excellerate Holdings Limited - Dealings in securities by directors Excellerate Holdings Limited (Incorporated in the Republic of South Africa) (Registration number 1997/009884/06) JSE code: EXL ISIN: ZAE000026092 ("Excellerate" or "Company") DEALINGS IN SECURITIES BY DIRECTORS Excellerate shareholders ("Shareholders") are referred to the announcement published on the Securities Exchange News Service on 14 November 2011 ("Announcement") regarding dealings in securities by Mr G Hulley and Mr J Wellsted ("Directors"). In the Announcement, Shareholders were advised that Sporting Affair Investments 29 (Proprietary) Limited ("Sporting Affair"), a company in which the Directors have an interest, had entered into an agreement ("Agreement") in terms of which Sporting Affair would acquire ordinary shares in the Company ("Shares") from certain of the Company`s shareholders. The transfer of the Shares was, in terms of the Agreement, subject to the fulfilment of certain conditions precedent ("Conditions Precedent"). Shareholders are advised that the Conditions Precedent have now been fulfilled and consequently, the Shares have been transferred to Sporting Affair.
