PBT - PBT Group Limited - Appointment non-executive directors & changes to the board PBT Group Limited Incorporated in the Republic of South Africa Registration number: 1936/008278/06 Share Code: PBT ISIN: ZAE000149712 ("PBT" or "the Company") Changes to the board of directors In accordance with paragraph 3.59 of the JSE Limited Listings Requirements, shareholders are advised that Ronell Van Rooyen and Michael Buckham have been appointed to the board of PBT as independent non-executive directors. Monty Kaplan will assume the role of independent non-executive chairman of PBT. The following directors have resigned from the board: Hermanus Christiaan Steyn, Jason James Kinnear, Elizna Read, Kenneth Norman Wood, Nitesh Vallabh and Michelle Baron-Williamson. The changes to the board of directors are made in anticipation of the acquisition by PBT of Prescient Holdings (Proprietary) Limited, Prescient Capital (Proprietary) Limited, Stadia Fund Management Limited and 75% of Greenfield Institute of Business (Proprietary) Limited Michael Buckham is currently the financial director of Prescient Holdings (Pty) Limited, he joined Prescient Holdings during October 2007 to head up Prescient Life from an administration, accounting, compliance and operational point of view. Michael attended the University of Cape Town, completing a Bachelor of Business Science with Finance and Accounting Honours in 1994. He furthered his studies with a Post Graduate Diploma in Accounting at UCT in 1995, then qualifying as a Chartered Accountant in 1996. Michael obtained his CFA in 2002. Ronell Van Rooyen completed her M.Com, in 1994, majoring in Econometrics at the Randse Afrikaanse Universiteit. During this time she worked at Credit Guarantee Insurance Company in the Investment Department. Her duties were economic research (SA and other countries) and investment administration.In 1995 she joined Ginsburg Malan and Carsons (Actuaries and Consultants) where she was responsible for economic and investment research. The investment research included risk/return- and investment evaluation. In 1997 she started at SCMB Securities as a Private Client Advisor. During the next two years she completed the Registered Persons and JSE Membership exams. She transferred to the Institutional dealing desk in 1999. Ronell joined Prescient Investment Management in August 2001 as a Portfolio Manager. In April 2004, with the advent of staff acquiring 14.8% of Prescient Investment Management, Ronell was appointed a Director at Prescient Holdings, representing the interests of the Prescient staff. Ronell was Head of Fund Management from 2010 to November 2011. At present she runs the Prescient Foundation. All the above changes to the board take effect from 27 February 2012.
