UPDATE TO NOTICE OF ANNUAL GENERAL MEETING AND FORM OF PROXY                    
Shareholders are referred to the notice of annual general meeting               
("Notice") and the form of proxy contained in the FoneWorx annual report        
which was dispatched to shareholders on 23 September 2011, and are              
advised to take note of the following when completing their forms of            
proxy:                                                                          
    -    all references to the resolution type and number pertaining to         
         the "General approval to acquire shares" set out in item number        
10 of the Notice, should be correctly read as "Special                 
         Resolution Number 1". Similarly, item number 10 of the form of         
         proxy should refer to "Special resolution number 1 - General           
         approval to acquire shares"; and                                       
-    all references to the resolution type and number pertaining to         
         "Financial assistance in terms of section 44 and 45 of the             
         Companies Act" set out in item number 11 in the Notice, should         
         be correctly read as "Special Resolution Number 2". Similarly,         
item number 11 of the form of proxy should refer to "Special           
         resolution number 2 - Approval of financial assistance in terms        
         of section 44 and 45 of the Companies Act".
