announcement Stimulus Investments Limited (Incorporated in the Republic of Namibia) (Registration number 2004/482) ("Stimulus") NSX Share code: SMSP ISIN: NA000A0DK7D9 Dividend Declaration/Cautionary Announcement Preference shareholders are advised that the Board of Directors of the Company have resolved to declare and pay a dividend to each of the holders of the variable rate redeemable non-cumulative preference shares in the issued share capital of the Company ("2004 Preference Shares") in accordance with the terms and conditions attaching to the 2004 Preference Shares in the amount of N$ 37.719 per Preference Share. The payment will be made in accordance with the current Listing Requirements of the Namibian Stock Exchange with the last day to trade cum dividend for preference shareholders being 14 October 2011, security trading ex dividend 17 October 2011, record date being 21 October 2011 and the payment date being 31 October 2011. The preference share dividend is subject to the approval of the preference shareholders on 27 October 2011 to amend the definition of "realised return", the successful issuance of a new round of preference shares of a total subscription value of not less than N$155 000 000, on or around 28 October 2011 as well all regulatory approvals and or registrations required. Assuming that the above approval is gained and capital raised, then, upon payment of the dividend contemplated above, the existing 2004 Preference Shares be redeemed in accordance with clause 17.5.1 of the terms and conditions attaching to the 2004 Preference Shares and as set out in the Placing Document. Due to the conditional nature of the dividend, preference shareholders are advised to exercise caution when dealing in the company`s preference shares until 31 October 2011.
