NO CHANGE STATEMENT AND NOTICE OF ANNUAL GENERAL MEETING                        
Shareholders are advised that the Company`s annual financial statements         
for the year ended 30 June 2011 were posted to shareholders on 8                
September 2011 and contain no modifications to the reviewed results which       
were published on 15 August 2011. The Company`s auditors, PKF (Jhb) Inc.,       
have audited the annual financial statements and their unqualified report       
is available for inspection at the Company`s registered office. The             
annual report is also available on the Company`s website                        
www.mvelagroup.co.za.                                                           
Notice is hereby given that the sixteenth annual general meeting of the         
Company will be held at 11:00 on Tuesday, 1 November 2011 in the                
boardroom of PKF (Jhb) Inc., at 42 Wierda Road West, Wierda Valley,             
Sandton, Johannesburg to transact the business as stated in the notice of       
annual general meeting. The board of directors of the Company has               
determined, in accordance with section 59 of the Companies Act No. 71 of        
2008, as amended, that the record date for the purposes of determining          
which shareholders are entitled to attend, participate and vote at the          
annual general meeting is Friday, 21 October 2011. The last day to trade        
in order to be registered in the Company`s register will therefore be           
Friday, 14 October 2011.
