Due to the Companies Act coming into force on 1 May 2011, the resolutions described in the circular and contained in the notice of meeting attached thereto are necessary for Brimstone to continue to operate in the manner in which has been operating in the past. Brimstone shareholder approval is now required for certain day-to-day operational decisions which the Company previously did not require Brimstone shareholders to approve.
