ANNUAL REPORT AND NOTICE OF ANNUAL GENERAL MEETING                              
Shareholders are referred to the "Reviewed financial results for the year       
ended 31 December 2010" announcement made by Cape Empowerment on 29 March       
2011 and are advised that the annual financial statements in respect of the     
financial year ended 31 December 2010 of the company will be posted to          
shareholders on 30 June 2011.  These annual financial statements contain no     
significant modifications to the reviewed unaudited provisional results that    
were published on SENS on 29 March 2011 other than:                             
-    a decrease in headline earnings of R1,984 million;                         
-    a restatement of headline earnings per share to 3.3 cents compared to      
    that previously reported of 3.6 cents.                                      
These changes were as a result of changes in the classification of certain      
line items of a subsidiary.                                                     
The annual financial statements were audited by the company`s auditors, Grant   
Thornton. Their unqualified audit report is available for inspection at the     
company`s registered office, 2nd Floor, Sunclare Building, Dreyer Street,       
Claremont, Cape Town.                                                           
Notice is hereby given that the annual general meeting of shareholders will     
be held at 12h00 on Monday, 5 September 2011 at 2nd Floor, Sunclare Building,   
Dreyer Street, Claremont, Cape Town, to transact business as stated in the      
notice of the annual general meeting forming part of the annual financial       
statements.
