CMA - Command Holdings Limited - Results of General Meeting; and withdrawal of cautionary announcement regarding the Acquisition of Comwezi Security Services (Pty) Limited Command Holdings Limited (Incorporated in the Republic of South Africa) (Registration number 1999/014759/06) Share Code: CMA ISIN Code:ZAE000023131 ("Command" or "the Company") ANNOUNCEMENT REGARDING: * RESULTS OF GENERAL MEETING; * AND WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT *REGARDING THE ACQUISITION OF COMWEZI SECURITY SERVICES (PTY) LIMITED ("COMWEZI") 1 Results of general meeting Shareholders are referred to the notice of general meeting dated Monday, 11 April 2011 relating to the request from Cape Empowerment Trust Limited, Sonset Nominees (Proprietary) Limited and Lucysat Investments (Proprietary) Limited calling for the convening of a meeting of shareholders for the removal of Prof M I Parker, Mr K G Druker, Ms F N Moshesh and Mr C T Vermaak as directors of Command and the election of Mr J de Villiers, Mr M Sonik, Mr T D Rai and Mr M Burton as directors of Command. Shareholders are advised that at the general meeting of Command held today, none of the ordinary resolutions was passed by the requisite majority of shareholders present and represented by proxy. 2 Withdrawal of cautionary announcement regarding the acquisition of Comwezi Security Services (Pty) Limited ("Comwezi") Shareholders are referred to the terms announcement released on SENS on Thursday, 23 December 2010 and in the press on Friday, 24 December 2010, and the subsequent renewals of the cautionary announcements, where they were advised that Command entered into the acquisition agreement ("the agreement") on 21 December 2010 with the trustees of the Grapsy Trust ("the Seller") to acquire 60% of the issued shares in Comwezi, and any claims the Seller has against Comwezi, subject to the certain conditions precedent being fulfilled or waived ("the transaction"). Shareholders are hereby advised that the conditions precedent have not been fulfilled or waived and therefore the agreement has lapsed. Accordingly, Shareholders are no longer required to exercise caution when dealing in Command securities.
