Keaton Energy shareholders are referred to the cautionary announcement dated 7  
October 2010 and the renewal of cautionary announcement dated 18 November 2010, 
and are advised that the company is still in negotiations which, if successfully
concluded, may have a material effect on the price of the company`s securities. 
Accordingly, shareholders are advised to continue to exercise caution when
