Martin (non-executive director) Date: 16 April 2010 Price: 275 cents per share Number of shares: 30 000 000 Class: Ordinary shares Nature: Sale Total consideration: R82 500 000 Extent of Directors` interest: INDIRECT non-beneficial interest in Dark Capital (Pty) Ltd ("Dark Capital") Director: J.C du Preez (CEO) Date: 16 April 2010 Price: 275 cents per share Number of shares: 15 000 000 Class: Ordinary shares Nature: Purchase Total consideration: R41 250 000 Extent of Directors` interest: INDIRECT non-beneficial Dark Capital, Petmin`s BEE partner, continually manages its portfolio and its financing activities to enable it to participate in an optimal manner in its various projects. Dark Capital, of which Mr. Martin is a director, together with its associated companies, intends to continue being one of Petmin`s major shareholders and an anchor BEE consortium member. Dark Capital actively consults Petmin in all matters that affect its shareholding in Petmin. Subsequent to this transaction Petmin`s BEE shareholding will still be in excess of 26% as required by the Mining Charter. Petmin continues to seek ways in which to increase its BEE shareholding in accordance with the spirit of the Mining Charter.
