MTN - MTN Group Limited - Extension of Exclusivity Agreement and Further Renewal of Cautionary Announcement MTN Group Limited (Incorporated in the Republic of South Africa) Registration number 1994/009584/06 Share code: MTN ISIN code: ZAE000042164 ("MTN") EXTENSION OF EXCLUSIVITY AGREEMENT AND FURTHER RENEWAL OF CAUTIONARY ANNOUNCEMENT Shareholders are referred to the cautionary announcement and to the renewal of cautionary announcements released on SENS on 25 May 2009, 6 July 2009 and 3 August 2009 concerning discussions regarding a potential transaction between MTN and Bharti Airtel Limited ("Bharti"). MTN and Bharti had entered into an exclusivity agreement regarding the potential transaction until 31 August 2009. Shareholders are advised that the discussions between the parties regarding the potential transaction continue to progress satisfactorily and the parties have accordingly agreed to extend the exclusivity period until 30 September 2009. No decision or agreement to acquire any shares or implement the potential transaction outlined above has yet been made by the Boards of either MTN or Bharti and the discussions may or may not lead to any transaction. Shareholders are therefore advised to continue to exercise caution when dealing in MTN`s securities until a further announcement is made.
